TERMS AND CONDITIONS OF SERVICE

Institutional Framework for Global Multi-Vendor Trade

1. LEGAL AGREEMENT & CORPORATE DISCLOSURE

Welcome to Varthub E-commerce Marketplace Ltd. By accessing our platform, registering an account, or initiating a transaction, you enter into a legally binding contract governed by the laws of the Federal Republic of Nigeria.

Varthub E-commerce Marketplace Ltd, founded and led by Samuel Uchendu, operates as a high-performance digital intermediary and fiduciary facilitator. We provide the secure infrastructure for independent Third-Party Vendors ("Merchants") to list and sell assets to Buyers. Varthub does not hold title to, manufacture, or physically inspect the goods; every transaction constitutes a direct contract between the Buyer and the Merchant.

2. FINANCIAL ARCHITECTURE & THE VARTHUB WALLET

To ensure maximum capital velocity and security:

Payment Collection: All payments are securely collected by Varthub on behalf of the Merchant through bank-grade encrypted gateways.

The Varthub Wallet: Authorized refunds are disbursed exclusively as Store Credit to your internal Varthub Digital Wallet.

Withdrawal Mandate: Wallet balances are available instantly for ecosystem reinvestment. External withdrawals to linked bank accounts are subject to a 2.5% administrative fee and a standard 3-5 business day clearing cycle.

3. THE 7-DAY FIDELITY GUARANTEE (NON-PERISHABLES)

For non-perishable assets (Electronics, Fashion, Industrial Goods, etc.):

Mandatory Inspection Window: Buyers are granted a strict seven (7) calendar day period from the OTP-verified delivery timestamp to report defects or initiate a return.

Deemed Acceptance: Failure to report a discrepancy within this 7-day window constitutes irrevocable acceptance. Following this period, Varthub is authorized by its leadership to release final settlement to the Merchant.

4. PERISHABLES & CONSUMABLES PROTOCOLS

In accordance with NAFDAC and global health safety regulations:

Non-Returnable Status: For biological and hygiene reasons, food, beverages, and opened consumables cannot be returned once delivered.

2-Hour Reporting Mandate: Quality deviations must be reported with photographic evidence via the Varthub Support Interface within two (2) hours of delivery for refund eligibility.

5. LOGISTICS INTEGRITY & OTP VERIFICATION

Immutable Record: Delivery is legally confirmed only upon the provision of a One-Time Password (OTP) to the logistics agent. This timestamp triggers the start of the inspection window.

Failed Delivery: If a Buyer is unreachable at the designated coordinates, Varthub reserves the right to cancel the order and deduct the Logistics Surcharge from the refund.

6. LIMITATION OF LIABILITY & INDEMNITY

To the maximum extent permitted by the Federal Competition and Consumer Protection Act (FCCPA), Varthub’s total liability is strictly capped at the original purchase price of the disputed item. You agree to indemnify Varthub E-commerce Marketplace Ltd and its officers, including Samuel Uchendu, against any losses arising from Merchant negligence or product defects.

7. GOVERNING LAW & DISPUTE RESOLUTION

These terms are governed by Nigerian Law. Any disputes shall first be subjected to internal mediation by the Varthub Compliance Department before escalation to the competent courts in Delta State, Nigeria.
